Terms of Service

The agreement between you and Spotbo Inc. for using Meinry. It is written to be read: what the software does, why nobody here is your accountant, what the bank connection can and cannot do, what each rung costs, and the things it does not promise.

These terms are an agreement between you and Spotbo Inc., which operates Meinry. They apply when you use this site, when you join the early-access list, and, once it opens, when you subscribe, connect an account, or use the product.

Three things are worth reading before the rest. Meinry is not open yet, so joining holds a price rather than buying software. Nobody here is your accountant: the software keeps books, and it does not advise, file, audit or assure anything. And the access it asks of your bank is read-only, so it can see what moved and can never move anything.

What Meinry does

Meinry is bookkeeping software. It reads the transactions from the accounts you connect, codes each one, matches the documents that belong to it, reconciles each account against its own statement, and, on the rungs that include it, runs a month-end close and locks the period. Access is licensed rather than sold, and is tied to your account.

It is unstaffed. There is no bookkeeper, accountant or offshore team behind the screen, and that is the product rather than a limitation of it. What a person would otherwise do by hand, the software does; what the software cannot decide, it asks you.

Early access, and what joining does

Meinry is not open. Joining the early-access list puts your address in front of us and holds the price shown on the site for you when it opens. It is not a purchase, it does not create an account, no card is asked for and nothing is charged.

Neither side is committed by it. We are not obliged to open on any date, or at all; you are not obliged to buy anything if we do. If the product never opens, the only thing that ever existed between us is an email address, and you can have it deleted by asking.

Nobody here is your accountant

Spotbo Inc. is not an accounting firm, a CPA firm, a tax agent or a licensed practitioner of anything, and using Meinry does not create a professional relationship of that kind. The software keeps books. It does not give accounting, tax, legal or financial advice, it does not prepare or file a tax return, and it does not audit, review or provide assurance over any set of figures.

The consequence is the part to be clear about: the books remain yours, and so do the filings made from them. Whoever files your return, you or the accountant you keep for exactly this, is responsible for what is in it, and is entitled to check the work before signing. Meinry is built to make that check short rather than to replace it.

Where the software cannot decide something from the data it has, it asks you rather than guessing, and it will not close a period over an unanswered question. Answering those questions is your part of the arrangement, and the accuracy of what comes out depends on it.

The accounts you connect

Bank, card and payment connections are made through a regulated account-information provider, and the access is read-only. Meinry can see what moved and when. It cannot move money, cannot initiate or approve a payment, and cannot change anything at your institution.

You are telling us you are entitled to connect the accounts you connect, and to have their data processed for the business those books belong to. You can disconnect any account at any time, from Meinry or from your institution's own third-party access settings; either one ends the flow of data immediately, and the books already produced stay yours.

What comes through the feed is what your institution sends. If a feed goes down, changes format, or drops a transaction, the books can only be as complete as the data behind them, and we cannot warrant somebody else's connection.

Your account

You need an account to use the product, the details you give have to be accurate, and you are responsible for what happens under it, including anything done by people in your business who you let in. Keep your credentials to yourself and tell us quickly if you think they have been compromised.

You have to be old enough to enter a contract where you live, and if you are agreeing on behalf of a company you are telling us you can bind it.

Acceptable use

Do not use Meinry to do any of the following:

  • Connect accounts you have no right to connect, or process the financial data of a business you are not entitled to act for.
  • Produce or maintain records you know to be false, or use the product to conceal a transaction, misstate a position or assist a fraud.
  • Break the product on purpose: probing security, working around limits, scraping it, or resembling a denial-of-service attempt.
  • Resell, sublicense or white-label the service as your own, or use it to keep books as a service for third parties without a written agreement with us.
  • Anything unlawful, or anything that infringes somebody else's rights.

The plans, and what they cost

There are three rungs when the product opens: Ledger at $149 a month, Close at $390 a month, and Controller at $790 a month. Prices are in US dollars and exclude any sales tax or VAT that applies where you are.

The rungs are banded on monthly expense volume, not on seats: Ledger covers up to $25,000 a month going out of the business, Close up to $150,000, and Controller up to $500,000 across up to three sets of books. Everyone in your business can use the account on every rung, at no extra cost per person. Above $500,000 a month, or more than three sets of books, the price is agreed with you in writing before anything changes.

Subscriptions are monthly and renew automatically until cancelled. If we change a price, the change takes effect no earlier than your next renewal and we will tell you before it does.

Going over your band

Businesses grow, and the band is the meter, so this needs a rule rather than a surprise. If your expense volume passes the band you are on, we will tell you, show you the figure it was measured on, and move you to the rung that covers it from your next renewal. We do not move a subscription up silently, and we do not bill an overage on top of a monthly price.

Going the other way works the same: if the volume drops for good, ask and we will move you down at renewal.

Cancelling, and getting your data out

You can cancel at any time and the subscription runs to the end of the period you have paid for. We do not charge a cancellation fee and we do not require notice. Payments already made are not refunded except where the law requires it or where we have plainly failed to deliver, in which case write to us and we will sort it out rather than argue about it.

Your books are yours. You can export your ledgers and the documents in them at any time while the account is open, and for a reasonable period after it closes. We will not hold your records hostage to a billing dispute. A bookkeeping product that did that would be unusable by anyone who might one day leave.

The services this depends on

Meinry runs on top of other people's services: hosting, a payment processor, an account-information provider for bank feeds, and machine-learning providers used to code transactions and read documents. Their availability and their terms are theirs, not ours. If one of them changes what it offers, the product changes with it, and we will say so rather than quietly degrade.

Who owns what

You own your data: the transactions, the documents you supply, the ledgers, and the statements produced from them. You grant us the licence needed to host and process them in order to run the service for you, and nothing beyond that.

We own the software, the interface, the models and rules we build, and the site. Nothing here transfers any of it to you, and improvements we make from operating the service in general remain ours. That does not extend to your figures, which are not ours to use for anything but keeping your books.

Suspension and ending the agreement

We can suspend or close an account for non-payment, for a breach of the acceptable-use section, or where we have to in order to protect the service or somebody else. Where it is safe and lawful to do so we will tell you first and give you a chance to fix it, and you will be able to export your data.

You can close your account whenever you like.

Disclaimers

To the maximum extent the law allows, the service is provided as is and as available. We disclaim the implied warranties, including merchantability, fitness for a particular purpose, accuracy and uninterrupted operation.

Specifically, and because this is the category where it matters: we do not warrant that every transaction will be coded correctly, that a reconciliation will balance, that a feed will keep delivering, or that any set of books will satisfy a particular tax authority, lender or auditor. No accuracy rate is claimed anywhere on this site, because none has been measured. When one has been, it will be published together with what it was measured on, and it will still be a measurement rather than a warranty.

Limitation of liability

To the maximum extent the law allows, neither Spotbo Inc. nor its suppliers will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill, penalties, interest or business interruption, even if we were told they were possible. Our total liability arising out of the service or these terms will not exceed what you paid us in the three months before the event that gave rise to the claim.

Some of these limits do not apply where the law does not allow them, and nothing here excludes liability for fraud.

Indemnity

If you use Meinry for a business, you will defend and indemnify Spotbo Inc. and the people who work on it against third-party claims and reasonable costs arising from data you supplied, accounts you connected without the right to, your breach of the acceptable-use section, or your infringement of somebody else's rights. This does not cover our own fraud or wilful misconduct.

Changes to these terms

We may update these terms as the product, the law or the services it depends on change. The date at the top of this page is the one that counts. Where a change is material we will give reasonable notice; continuing to use the service after it takes effect is acceptance, and if you do not agree you can cancel before the next renewal.

General

These terms and the Privacy Policy are the whole agreement for the service. You may not assign it without our consent; we may assign it as part of a reorganization or sale. If one provision cannot be enforced, the rest stays in force. Not enforcing something once is not a waiver of it. The sections that should outlast the agreement do: acceptable use, ownership, the disclaimers, the liability limits and anything you still owe.
